Specific services, pricing, deliverables, and responsibilities may be defined in a separate proposal, statement of work, order form, or service agreement.

If a separate written agreement conflicts with these general Terms, the separate agreement will control regarding the conflicting provision.

2. No Guarantee of Results

Marketing results vary substantially based on factors including market conditions, competition, pricing, sales processes, advertising budgets, customer demand, client responsiveness, and third-party platforms.

Prime Age Marketing does not guarantee any specific number of leads, appointments, customers, sales, revenue, return on advertising spend, search rankings, reviews, or other business results unless a specific written guarantee is expressly included in a separate agreement.

Case studies, testimonials, examples, projections, and previous results are illustrative and do not guarantee future performance.

3. Client Responsibilities

Clients are responsible for providing accurate information and timely access to accounts, systems, branding materials, approvals, customer information, and other resources reasonably necessary for Prime Age Marketing to perform the agreed services.

Clients are also responsible for the legality and accuracy of their products, services, offers, claims, pricing, licenses, and business operations.

4. Advertising Platforms and Third-Party Services

Prime Age Marketing may use third-party services such as advertising platforms, CRM providers, communications providers, analytics systems, artificial intelligence providers, and other technology platforms.

Prime Age Marketing does not control these third parties.

We are not responsible for platform outages, account suspensions, policy changes, algorithm changes, rejected advertisements, service interruptions, data loss, or other actions taken by third-party providers outside our reasonable control.

5. Advertising Spend

Unless expressly stated otherwise in writing, advertising budgets and media spend are separate from Prime Age Marketing's management or service fees.

Clients are responsible for funding their advertising accounts and other agreed third-party expenses.

6. AI and Automation

Prime Age Marketing may use artificial intelligence, machine learning, automated workflows, AI-assisted communications, and other technologies in providing services.

Automated or AI-generated output may occasionally contain errors or produce unexpected results.

Clients remain responsible for reviewing material business decisions, representations, offers, and communications where appropriate.

7. Customer and Lead Data

Clients represent that information provided to Prime Age Marketing has been collected and provided lawfully and that the client possesses any permissions, rights, notices, or consents required for Prime Age Marketing to process or use the information for the agreed services.

Clients are responsible for identifying applicable legal or regulatory restrictions affecting their industry or customers.

Clients using Prime Age Marketing's email, SMS, calling, reactivation, or automated communication services are responsible for ensuring that their contact lists and campaigns comply with applicable laws and regulations.

Prime Age Marketing may refuse, suspend, or terminate campaigns that we reasonably believe involve unlawful, deceptive, abusive, or unauthorized communications.

9. Fees and Payment

Fees are due according to the payment terms stated in the applicable proposal, invoice, order form, or service agreement.

Unless otherwise stated in writing, setup fees and amounts already earned for services performed are non-refundable.

Late or failed payments may result in suspension of services.

10. Intellectual Property

Prime Age Marketing retains ownership of its pre-existing materials, processes, templates, methodologies, automations, software configurations, frameworks, documentation, know-how, and other proprietary systems.

Upon full payment, clients receive the rights to final client-specific deliverables described in their applicable service agreement, subject to any third-party licenses and any rights expressly reserved by Prime Age Marketing.

Nothing in these Terms transfers ownership of Prime Age Marketing's underlying methodologies, automation systems, technology, templates, or intellectual property unless expressly agreed in writing.

11. PAM Technology and Revenue Systems

Prime Age Marketing may provide access to proprietary or configured marketing systems, dashboards, automations, workflows, reporting systems, or other technology.

Unless expressly stated otherwise in writing, access to these systems is licensed to the client for the duration of the applicable service relationship and does not constitute a transfer of ownership of Prime Age Marketing's underlying technology, workflows, methodologies, or intellectual property.

This section is particularly important if you're building PAM Revenue Engine as a transferable company asset rather than giving every client ownership of the underlying automation.

12. Confidentiality

Each party may receive non-public business, technical, customer, marketing, financial, or operational information belonging to the other party.

Each party agrees to use reasonable measures to protect confidential information and to use such information only for legitimate purposes associated with the business relationship.

13. Prohibited Uses

Users and clients may not use Prime Age Marketing services to engage in fraud, impersonation, deceptive advertising, illegal communications, unauthorized data collection, harassment, infringement, or other unlawful activity.

We reserve the right to suspend or terminate services associated with prohibited activity.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Prime Age Marketing will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, or loss of data arising from the use of our website or services.

To the fullest extent permitted by law, Prime Age Marketing's aggregate liability arising from a particular service relationship will not exceed the amount paid to Prime Age Marketing by the client for the services giving rise to the claim during the three months immediately preceding the event giving rise to the claim.

Some jurisdictions may not permit certain limitations, so portions of this provision may not apply in every circumstance.

15. Indemnification

To the extent permitted by law, clients agree to indemnify and hold harmless Prime Age Marketing LLC and its members, employees, contractors, and representatives from third-party claims, liabilities, damages, or expenses arising from the client's unlawful conduct, materials supplied by the client, products or services offered by the client, or client's violation of applicable law or these Terms.

16. Termination

Either party may terminate services according to the termination provisions contained in the applicable service agreement.

Prime Age Marketing may immediately suspend or terminate services for nonpayment, fraud, unlawful activity, abuse of services, material violation of these Terms, or conduct that creates unreasonable legal, security, or reputational risk.

17. Governing Law

These Terms will be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

Any disputes will be subject to the jurisdiction of courts located in New Jersey, except where applicable law requires otherwise.

18. Changes to These Terms

Prime Age Marketing may modify these Terms periodically. Updated Terms will be posted on this website with an updated effective or revision date.

Continued use of the website or services following an update constitutes acceptance of the revised Terms to the extent permitted by law.
